Pursuant to Article 22 & 22.2 of the Articles of the Association of HAAART Foundation, incorporated on 20 December 2024 in the Hague, The Netherlands with Chamber of Commerce Registration KVK No: 9586969 stating "The foundation has established a standing order, referred to as the 'Constitution' which shall apply to the foundation insofar as it does not conflict with these articles of association", are resolved to be adopted and taken on record vide a Joint Board Resolution dated 08th March 2025 with resolution series ref no. HF/JB/2025/01 and the same shall be called “Constitution of HAAART Foundation” and shall come to effect on the 08th day of March 2025.
ARTICLE 1: COMPREHENSIVE OBJECTIVES
To complement the objects defined in Articles of the Association of HAAART Foundation vide Article No. 2, the following objectives shall be called comprehensive objectives of the Foundation and are classified as Core Objectives and Ancillary Objectives.
ARTICLE 1.1: CORE OBJECTIVES
1.1.1 To promote global peace and justice
1.1.2 To promote education, international law, international diplomacy, legal research,human rights protection, dispute resolution and environmental studies.
1.1.3 To establish academies, educational, training and other institutions.
1.1.4 To partner, maintain or grant aid to sub organizations, national organizations, regional organizations, institutions, units, subsidiaries, divisions and sub establishments to meet the objectives of the foundation.
1.1.5 To aid and assist deserving members of the foundation and general public.
ARTICLE 1.2 ANCILLARY OBJECTIVES
1.2.1 To be an amicus to international courts, international organizations, provide legal aid to needy litigating and related parties.
1.2.2 To represent before applicable international courts & organizations on international law matters
1.2.3 To be an amicus / mediating body to States, NGOs & corporates in international & cross border disputes & matters related to human rights, environment and commerce.
1.2.4 To assist international organizations and countries working towards global peace & justice
1.2.5 To engage in public interest works in the fields of public and private international law
1.2.6 To engage in legal research in the field of public & private international law and provide scholarships, educational assistance.
1.2.7 To liaise with embassies / ambassadors on global peace strategies / related international affairs
1.2.8 To provide scholarships & non monetary aid to students excelling in the field of international law.
1.2.9 To provide monetary, non monetary aid to victims of human rights violations, war crimes, refugees etc
1.2.10 To work on international Govt/Non Govt ADR/arbitration
1.2.11 To work to develop global peace & justice ambassadors
1.2.12 To provide career counseling & professional training in the fields of public & private international law
1.2.13 To provide a platform for accessing empanelled international attorneys, arbitrators & mediators
1.2.14 To partner with corporates & NGOs to promote to research the causes and effects of poverty, injustice and suffering
1.2.15 To inform the general public and decision-makers about the causes and possible solutions; and to work as an international partnership of goodwill.
1.2.16 To provide study programmes and or enter into partnerships for study programmes for free or at fee
1.2.17 To contribute to continuing and developing the study programmes as well as to stimulating and supporting activities to promote the development of the students and researchers
1.2.18 To perform work or provide services at commercial rates with the objective of making a profit for purposes of financing activities that are aimed at promoting or realizing the foundation's objectives.
ARTICLE 2: SUB ORGANS OF HAAART FOUNDATION
ARTICLE 2.1: ESTABLISHMENT OF SUB ORGANS:
2.1.1 Pursuant to Article 16 of the Articles of the Association of HAAART Foundation, the foundation in order to meet its objectives may constitute Sub Organs of the Foundation. The following sub-organs of the foundation are deemed to have been constituted / established on the date the constitution is adopted by the foundation and shall be part of the foundation. If required the sub organs may be incorporated as separate foundations but governed by the Articles of Association of HAAART Foundation. Each sub-organ can fix & collect a prescribed fee for various types of empanelments, memberships and services.
ARTICLE 2.2 HAAART GLOBAL PEACE AND JUSTICE CENTRE:
2.2.1 Peace and justice related objectives of the foundation shall be executed under the sub organ of the foundation and the said sub organ is hereinafter titled as HAAART Global Peace And Justice Centre.
2.2.2 HAAART Global Peace And Justice Centre shall aim to do an extensive research on the international / cross border disputes and strive to make recommendations to international organizations and states with such research reports / solutions.
ARTICLE 2.3 HAAART INTERNATIONAL ACADEMY OF LAW:
2.3.1 Academic, training and other ancillary objectives related to teaching international law and related subjects shall be executed under the sub organ of the foundation and the said sub organ is hereinafter titled as HAAART International Academy of Law.
2.3.2 HAAART International Academy of Law shall aim to deliver professional trainings and courses on public international law, private international law and other related subjects.
ARTICLE 2.4 HAAART INTERNATIONAL COURT OF ARBITRATION (HICA):
2.4.1 Arbitration & Mediation, alternative dispute resolution related objectives shall be executed under the sub organ of the foundation and the said sub organ is hereinafter titled as HAAART International Court of Arbitration (HICA).
2.4.2 HAAART International Court of Arbitration shall be an institutional arbitration and mediation centre with its global headquarters in the Hague, the Netherlands and may operate globally.
2.4.3 HAAART International Court of Arbitration shall have its internal rules in compliance with UNCITRAL and the same shall be in force vide adoption of joint board resolution of HAAART Foundation and be called “HAAART INTERNATIONAL COURT OF ARBITRATION RULES (HICA RULES)”
2.4.4 HAAART International Court of Arbitration shall aim to resolve state to state or state to enterprise or enterprise to enterprise disputes through mediation, conciliation and arbitration subject to the matters being referred to the centre.
ARTICLE 2.5 HAAART INTERNATIONAL CONSORTIUM OF LAWYERS:
2.5.1 HAAART International Consortium of Lawyers is a consortium of international lawyers with an objective of extending cooperation amongst member lawyers to achieve highest standards of legal services and serving the justice system internationally the said sub organ is hereinafter titled as HAAART International Consortium of Lawyers.
2.5.2 Members of HAAART International Consortium of Lawyers shall extend mutual cooperation to associate with each other to deliver legal services including and not limited to cross border transactions, matters related to public and private international law, joint legal legal practice on specific matters, legal process outsourcing, legal affiliating, pro bono legal services, and other international legal services. Member lawyers may extend cooperation by collaboration in respective countries subject to meeting criteria of local country laws. All such members shall be bound by constitution and rules of HAAART Foundation or such rules especially adopted by the consortium.
ARTICLE 2.6 SERVICES OF SUB ORGANS OF THE FOUNDATION
2.6.1 Subject to payment of necessary subscription or service charges the members of the foundation or general public / users can avail services of the foundation with respective discounts as and when applicable and available.
ARTICLE 3: ASSOCIATED PERSONS / ASSOCIATED MEMBERS OF THE FOUNDATION
ARTICLE 3.1: TERMINOLOGY OF ASSOCIATED PERSONS / MEMBERS
3.1.1 To simplify terminology for general business affairs, the term 'Associated Person' as defined in Article 15 of the articles of association shall be deemed to mean a member associated with the Foundation, excluding voting rights on the Board.
3.1.2 This term ‘member’ used, attributed, associated with the foundation (except for board members) shall be deemed to be ‘associated person’ and be used in constitution and other foundation documents. The term member shall always be in the meaning, context and spirit of the definition as per Article 15 of the articles of association.
ARTICLE 3.2: TYPES OF MEMBERS OF THE FOUNDATION
3.2.1 Principal Founding Life Member / Founder Life Member: Associated Person(s) of the foundation who have initiated the cause and contributed to the establishment of the by subscribing to the Articles of Association and to this constitution shall be Principal founding life member / Founder life member(s) of the foundation and such association shall be for life. The list of persons who are principal founding life member(s) of the foundation is as per Schedule 1A.
3.2.2 Co-Founding Life Member(s): Associated Persons of the foundation who are Alumni / Faculty of the Hague Academy of International Law, HAAART Foundation or other individuals, who have contributed to the establishment of the foundation by subscribing to this constitution on or before the date of incorporation of articles of association of the foundation or adoption of this constitution shall be founding life member(s) of the foundation. The list of persons who have consented and who are confirmed to be founding life member(s) of the foundation is as per Schedule 1B.
3.2.3: Life Members
i. Associated Persons of the foundation who are Alumni / Faculty of the Hague Academy of International Law, HAAART Foundation or other individuals, who commit to contribute after the establishment in an exceptional manner satisfactory to the majority supervisory board members shall be confirmed life memberships of the foundation and shall be called life members of the foundation.
3.2.4: Honorary/Advisory Board Members
i. The foundation may up on its request or up on the interest may appoint the following types of honorable dignitaries including but not limited to Retired Judges of ICJ, other international courts, Members of UN Organizations, Members of Hague Academy Curatorium & Carnegie Foundation, Ambassadors / Diplomats / Govt Representatives of States and such dignitaries who are natural persons who may deem fit may be admitted to the roll of honorary members of the foundation by the supervisory board. Such honorary associated persons of the foundation shall be called honorary / advisory members of the foundation.
3.2.5: Permanent Members
i. Associated Persons of the foundation being Alumni & Faculty of Hague Academy of International Law, Alumni & Faculty of HAAART Foundation or its subsidiaries, affiliates, sub organizations, national organizations, regional organizations, institutions, units, subsidiaries, divisions and sub establishments, who is a natural person is eligible to be permanent member of the foundation.
ii. Any natural person who doesn't meet the above criteria but who has been referred by at least ONE member who is on the rolls of life or honorary or permanent members and subject to payment of permanent membership fee.
iii. The said person shall be admitted to the rolls of permanent members of the foundation upon the person’s application satisfying the requirements of membership admission. All permanent member enrollments shall be confirmed by the President and Secretary General of the Executive Board subject to membership admission fee.
3.2.6: General Members
i. Associated Persons of the foundation, who are natural persons of any nationality, an enterprise/company/organization of any country that is a legal entity, is eligible to be a general member of the foundation. A legal entity shall be represented by a representative appointed by said legal entity.
ii. General Members meeting the above criteria shall be referred by at least ONE member who is on the rolls of life or honorary or permanent members and subject to payment of General Membership fee.
iii. All general member enrollments shall be confirmed by the President and Secretary General of the Executive Board subject to membership admission fee.
3.2.7 Membership Admission & Termination:
i. Admission: Except for principal founding life member(s) and founding life members who have subscribed to the constitution as on date of incorporation, any membership of HAAART Foundation shall be subject to referral by at least one proposer who is an existing member and approved by the board.
ii. Termination: An associated person of the foundation deemed to be a member ceases to be a member
a. upon his or her death or because it ceases to exist;
b. by no longer satisfying the requirements for being a member
c. by cancellation by the member
d. by cancellation by the board.
ARTICLE 3.3: FEE & BENEFITS OF ASSOCIATED PERSONS / ASSOCIATED MEMBERS OF THE FOUNDATION
3.3.1 Except principal founding life member(s), founding life members, life members and honorary members of the foundation, every permanent member and general member who qualifies for membership of the foundation shall pay one time membership admission fee and annual subscription contribution fee, the amount of which is annually or periodically determined by the executive board to applicable generally or specifically to all/any permanent & general members.
3.3.2 In connection with the payment of this fee the board may divide the members into various categories and set different fees for different categories.
3.3.3: Permanent Members membership admission fee
i. A person eligible to be a permanent member of the foundation shall pay a one time membership admission fee of TWO HUNDRED EUROS (€ 200) or such fee as decided by the executive board may decide from time to time. The governing board may modify application of discounts / concessions on a case to case basis subject to a majority decision of the governing board.
3.3.4: Permanent Members Annual Membership Subscription fee:
ii. A permanent member on the rolls of the foundation shall pay an annual permanent membership subscription fee of TWO HUNDRED EUROS (€ 200) or such fee as decided by the executive board may decide from time to time.
3.3.5: Permanent Membership benefits
i. All permanent members on roll of the foundation with no dues of subscription can avail discounts of up to 20% on such paid services as and when decided by the executive board.
ii. All permanent members who have paid an annual subscription fee can attend all general, special and extraordinary meetings of the general body but cannot cast their vote.
iii. Permanent members of the foundation are eligible to nominate themselves or be co opted to be part of sub-committees / joint committees, units, sub organs of the foundation and executive board of the foundation.
3.3.6: General Members membership admission fee
i. An individual eligible to be a general member of the foundation shall pay a one time membership admission fee of ONE HUNDRED EUROS (€ 100) or such fee as decided by the executive board may decide from time to time.
ii. An enterprise eligible to be a general member of the foundation shall pay a one time membership admission fee of TWO HUNDRED EUROS (€ 200) or such fee as decided by the executive board may decide from time to time.
iii. The governing board may modify application of discounts / concessions on a case to case basis subject to a majority decision of the governing board.
3.3.7: General Members Annual Membership Subscription fee:
i. A general member individual who is admitted to the general members roll of the foundation shall pay an annual general membership subscription fee of ONE HUNDRED EUROS (€ 100) or such fee as decided by the executive board may decide from time to time.
ii. A general member enterprise who is admitted to the general members roll of the foundation shall pay an annual general membership subscription fee of TWO HUNDRED EUROS (€ 200) or such fee as decided by the executive board may decide from time to time.
3.3.8: General Membership benefits.
i. All general members on roll of the foundation with no dues of subscription can avail discounts of up to 10% on such paid services as and when decided by the executive board.
ii. All general members who have paid an annual subscription fee can attend all general, special and extraordinary meetings of the foundation but cannot cast their vote.
3.3.9: Co-Founding Life Members membership benefits & fee:
i. Founding Life membership fee and annual subscription fee shall be free of charge for such members admitted on the roll of founding life members. Founding life members are exempt from payment of any admission or annual subscription fees including but limited to sub organ membership/profile subscriptions of any type to empanelments as HIAL Faculty members, HICL Intl. Lawyer, HICA ADR Panelist, HICA Attorney Members etc and eligible to be on the rolls of such sub organ memberships/profiles. Additionally, Founding Life Members enjoy up to 50% of discounts on all services applicable to permanent & general members. The governing board may modify application of discounts / concessions on a case to case basis subject to a majority decision of the governing board.
3.3.10 Life & Honorary Members membership admission benefits & fee:
ii. Life and honorary membership fee and annual subscription fee shall be free of charge for such members admitted on the roll of life/honorary members. Founding life members are exempt from payment of any admission or annual subscription fees including but limited to sub organ membership/profile subscriptions of any type to empanelments as HIAL Faculty members, HICL Intl. Lawyer, HICA ADR Panelist, HICA Attorney Members etc and eligible to be on the rolls of such sub organ memberships/profiles. Additionally, Life & Honorary members enjoy up to 30% of discounts on all services applicable to permanent & general members. The governing board may offer additional discounts / concessions on a case to case basis subject to a majority decision of the governing board.
3.3.11 Additional service based subscription fee:
i. To avail services of the foundation, a member/participant or user of a service is required to pay an applicable subscription / service fee based on the type of service used and such fee shall be decided by the executive board from time to time. The governing board may offer additional discounts / concessions on a case to case basis subject to a majority decision of the governing board.
